證交所今日召開上市審議委員會，有條件通過F-世芯（3661）申請的初次申請上市案。

證交所董事會表示，F-世芯必須在公開說明書特別記載下列事項，包括第一、最近三年度及今年度第1季業績變化合理性暨獲利能力之評估。第二、銷貨集中於SONY集團，且進貨99%來自台積電，其必要性、風險性及因應措施；同時股權分散符合上市標準後，同意其股票上市。

此外，因F-世芯大股東SB Asia Infrastructure Fund L.P.與另一股東Cisco Systems International B.V.兩者之最終受益人相同，為落實強制集保精神，請Cisco Systems International B.V.承諾對申請公司之持股全數提交集中保管，自上市買賣開始日起屆滿六個月後始得領回二分之一，其餘股票部分，自上市買賣開始日起屆滿一年後始得全數領回。

F-世芯為IC設計公司，截至今年3月31日為止實收資本額5.41億元，淨值為17.60億元，今年第1季稅前淨利0.62億元，每股稅後盈餘（EPS）為0.98元，去年稅前淨利1.52億元，EPS為2.10元，導上市承銷商為宏遠證券。
