融創中國(01918.HK)宣布，落實收購綠城中國(03900.HK)5.24億股，或股本24.31

融創中國(01918.HK)宣布，落實收購綠城中國(03900.HK)5.24億股，或股本24.313%，與單一大股東九倉(00004.HK)看齊；代價62.98億元，相當於每股作價12元。扣除2013年末期息，實際代價60.14億元，即每股11.46元，較今日(22)收報溢價49%，較2013年止資產淨值則折讓20.3%。

完成後，賣方及其致行動人士(即宋衛平、夏一波及壽柏年)持股將由42.872%降至18.559%。

同時，宋衛平將由綠城主席調任為聯席主席；融創主席孫宏斌獲委任為非執行董事、聯席主席；融創集團副總裁黃書平獲委任為執行董事及執行總經理。(de/d)
